Terms of Service

1 Eligibility

You must be at least 18 years old and a resident of the United States to use the Service. By using Nura, you represent that you meet these requirements.

2 Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. 3 Description of the Service

Nura connects to your utility account data (with your authorization) to provide personalized electricity usage insights, rate plan comparisons, cost tracking, and savings recommendations. The Service is designed to help you understand and optimize your electricity bills.

Nura is an informational and analytical tool. We do not guarantee specific savings amounts, and our recommendations are based on the data available to us at the time of analysis.

4 Utility Data Authorization

To provide the Service, Nura requires access to your electricity usage data from your utility provider. By connecting your utility account, you authorize us to retrieve, store, and analyze your usage data in accordance with our Privacy Policy. You may revoke this authorization at any time through the Service or by contacting your utility provider directly. Revoking access may limit or disable certain features of the Service.

5 Fees and Payment

Nura may offer free and paid tiers of the Service. If you subscribe to a paid plan, you agree to pay the applicable fees as described at the time of purchase. Fees are billed on a recurring basis (monthly or annually, depending on the plan you select) and are non-refundable except as required by law.

We reserve the right to change our pricing at any time. If we change the price of a plan you are subscribed to, we will provide you with reasonable notice before the change takes effect.

6 Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to the Service, other user accounts, or any systems or networks connected to the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the Service to transmit any malicious code, spam, or harmful content
• Interfere with or disrupt the integrity or performance of the Service
• Resell, redistribute, or sublicense access to the Service without our written permission
• Provide false or misleading information when creating your account or connecting your utility data

7 Intellectual Property

All content, features, and functionality of the Service, including text, graphics, logos, icons, software, and the Nura name and brand, are owned by Nura or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your personal, non-commercial purposes, subject to these Terms.

8 User Content

If you submit feedback, suggestions, or other content to us, you grant Nura a non-exclusive, royalty-free, worldwide license to use, reproduce, and incorporate that content into the Service. You retain ownership of any content you submit, but you acknowledge that we are not obligated to use it or to compensate you for it.

9 Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Nura does not guarantee that the Service will be uninterrupted, error-free, or completely secure.

We do not guarantee the accuracy, completeness, or timeliness of any information provided through the Service, including utility data, rate plan comparisons, or savings estimates. Nura is not a utility company, financial advisor, or licensed energy consultant. The information and recommendations provided through the Service are for informational purposes only and should not be relied upon as professional financial or energy advice. You are responsible for verifying any information before making decisions about your utility account or rate plan.

10 Limitation of Liability

To the fullest extent permitted by law, Nura and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the Service.

In no event shall Nura's total liability to you exceed the greater of (a) the amount you have paid to Nura in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

11 Indemnification

You agree to indemnify, defend, and hold harmless Nura and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third-party rights.

12 Termination

You may stop using the Service and close your account at any time by contacting us at hello@getnurapower.com. We reserve the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination will remain in effect, including but not limited to Sections 7, 9, 10, 11, and 14.

13 Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Last Updated” date at the top of this page. If we make material changes, we will provide reasonable notice through the Service or by email. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.

14 Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or the Service shall be resolved in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of such courts.

15 General

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Nura regarding your use of the Service.
